Merchant Policy

1. INTRODUCTION

This Merchant Policy governs the use of Flur merchant services, including Flur Shop (Instagram commerce automation), payment acceptance services, POS terminals, and business management tools. This Policy supplements and incorporates by reference the Flur Terms of Service, POS Policy, Compliance Policy, and Privacy Policy.

By registering as a Flur merchant, you agree to comply with all provisions of this Merchant Policy. Violations may result in transaction holds, account suspension, fund seizure, reporting to authorities, and termination of merchant services.

2. MERCHANT ELIGIBILITY AND REGISTRATION

2.1 Eligibility Requirements

To qualify as a Flur merchant, you must:

  • Be a registered business entity under Nigerian law (sole proprietorship, partnership, or company)
  • Provide valid Corporate Affairs Commission (CAC) registration documents
  • Have a valid Tax Identification Number (TIN)
  • Operate a legitimate business offering lawful goods or services
  • Complete Enhanced KYC verification for all beneficial owners and authorized signatories
  • Maintain a physical business location or verifiable online presence
  • Comply with all applicable industry licenses and regulatory requirements

2.2 Prohibited Business Types

Flur does not provide merchant services to businesses engaged in:

  • Illegal drugs, controlled substances, or drug paraphernalia
  • Unlicensed gambling, betting, or gaming operations
  • Pyramid schemes, multi-level marketing, or Ponzi schemes
  • Adult content, pornography, or sexual services
  • Weapons, explosives, or military equipment
  • Counterfeit goods, fake documents, or pirated content
  • Unlicensed financial services or money transmission
  • Cryptocurrencies or virtual currency trading (except as permitted by law)
  • High-risk activities prohibited by payment networks or financial regulators

3. MERCHANT FEES AND PRICING

3.1 Transaction Fees

Merchants pay transaction processing fees based on:

  • Transaction volume tiers (higher volume = lower rates)
  • Payment method (card, bank transfer, wallet)
  • Risk level of merchant category
  • Additional fees: chargebacks (₦2,500 per dispute), refunds, currency conversion, international payments

Current fee schedules are available in your merchant dashboard and may be updated with 30 days notice.

3.2 Settlement Terms

  • Standard settlement: T+2 business days (transaction date + 2 days)
  • Expedited settlement: T+1 (available for qualified merchants)
  • Rolling reserve: 5-15% of transaction value held for 30-90 days for high-risk merchants
  • Chargeback reserve maintained based on historical chargeback rates
  • Settlement to registered business bank accounts only

4. FLUR SHOP: INSTAGRAM COMMERCE AUTOMATION

4.1 Service Description

Flur Shop automates Instagram-based commerce by:

  • Connecting your Instagram business profile to Flur payment processing
  • Automating order capture from Instagram DMs and comments
  • Generating payment links for customer transactions
  • Managing inventory synchronized with product posts
  • Providing order fulfillment tracking and customer communication tools

4.2 Merchant Obligations for Flur Shop

  • Maintain accurate product listings with honest descriptions and pricing
  • Honor all transactions processed through Flur Shop
  • Fulfill orders within stated delivery timeframes
  • Provide accurate order tracking and status updates
  • Handle customer service inquiries professionally
  • Comply with Instagram's Terms of Service and Commerce Policies
  • Not use Flur Shop for prohibited business activities

5. PAYMENT PROCESSING AND TRANSACTION MANAGEMENT

5.1 Payment Acceptance

  • Support for cards (Visa, Mastercard, Verve), bank transfers, USSD, and Flur Wallet payments
  • Split payment functionality for shared purchases
  • Subscription and recurring billing management
  • Installment payment options (coming soon)
  • PCI-DSS compliant payment processing

5.2 Refunds and Cancellations

  • Merchants must honor valid refund requests per their stated refund policy
  • Refunds processed within 5-7 business days
  • Partial refunds supported
  • Merchants bear refund processing costs

6. CHARGEBACKS AND DISPUTES

6.1 Chargeback Process

  • Notification of chargebacks within 24 hours of receipt
  • 7-10 days to provide supporting documentation
  • Required evidence: proof of delivery, customer communication, product description, transaction details
  • Chargeback fee (₦2,500) deducted regardless of outcome
  • Funds held pending resolution

6.2 Excessive Chargebacks

Merchants with chargeback rates exceeding 1% of transaction volume may face:

  • Increased processing fees
  • Extended settlement periods
  • Higher rolling reserve requirements
  • Account review and potential termination

7. MERCHANT COMPLIANCE OBLIGATIONS

  • Maintain valid business licenses and permits
  • Comply with consumer protection laws and regulations
  • Pay all applicable taxes (VAT, income tax, withholding tax)
  • Maintain accurate financial records for tax and audit purposes
  • Display Flur as a payment option where required
  • Not engage in deceptive marketing or fraudulent practices
  • Report security incidents or suspected fraud immediately

8. DATA AND REPORTING

  • Real-time transaction monitoring in merchant dashboard
  • Daily, weekly, and monthly sales reports
  • Settlement statements with detailed fee breakdown
  • Customer analytics and purchasing patterns
  • Inventory management and stock tracking
  • Tax reporting documentation

9. ACCOUNT TERMINATION

Flur may immediately suspend or terminate merchant accounts for:

  • Violation of this Merchant Policy or Terms of Service
  • Excessive chargebacks or fraud
  • Sale of prohibited goods or services
  • Failure to maintain valid business registration or licenses
  • Regulatory violations or criminal activity
  • False or misleading business information

Upon termination, pending settlements may be delayed 90-180 days to cover potential chargebacks and disputes.
